Corporate Commercial Senior Associate - Sandton

Corporate & Commercial Law | M&A | Project Finance 

Our client, a well-established and growing law firm with offices in Sandton, Cape Town, and Durban, is seeking a highly skilled and motivated Corporate Commercial Senior Associate to join its dynamic Corporate & Commercial team in Sandton.

This is an exciting opportunity for an experienced legal professional to work on high-value corporate transactions, complex commercial matters, and strategic advisory work while contributing to the continued growth of a respected practice.

Key Responsibilities

The successful candidate will be responsible for providing expert corporate and commercial legal services to a diverse client base and will play an integral role in transaction execution and client advisory.

Key responsibilities include:

• Drafting, reviewing, and negotiating a broad range of commercial agreements and legal documentation.
• Advising clients on corporate and commercial legal matters across multiple sectors.
• Managing and assisting with corporate transactions, including:
  • Mergers and acquisitions (M&A)
  • Corporate restructures
  • Project finance transactions
• Drafting and reviewing legal documentation, including:
  • Sale of Business Agreements
  • Sale of Shares Agreements
  • Shareholders Agreements
  • Partnership Agreements
  • Memoranda of Incorporation (MOIs)
  • Commercial contracts and related transaction documents
• Conducting legal research and providing commercially practical legal advice.
• Building and maintaining strong client relationships.
• Ensuring compliance with applicable legislation, including the Companies Act and related regulatory requirements.
• Managing matters independently while collaborating effectively with the broader legal team.

Minimum Requirements

To be considered for this role, candidates must meet the following requirements:

• LLB Degree
• Admitted Attorney of the High Court of South Africa
• Minimum 5+ years’ post-admission experience (PQE) in Corporate and Commercial Law
• Proven experience in:
  • Corporate transactions
  • Mergers and acquisitions (M&A)
  • Project finance transactions
• Strong drafting, negotiation, and analytical capabilities
• Demonstrated experience in client engagement and relationship management
