1. Kommersiële Reg en Kontrakte
- Opstel, hersiening en onderhandeling van kommersiële kontrakte.
- Verskaf regsadvies rakende besigheids- en kommersiële aangeleenthede.
- Identifiseer en bestuur kontraktuele risiko's.
- Verseker dat alle kontrakte aan toepaslike wetgewing voldoen.
2. Korporatiewe Transaksies
- Adviseer oor korporatiewe en kommersiële transaksies.
- Hanteer samesmeltings en verkrygings (M&A's).
- Assisteer met korporatiewe finansiering en private-ekwiteitstransaksies.
- Adviseer oor transaksiestrukturering en transaksionele belasting.
- Voer regs-ondersoeke (legal due diligence) uit waar nodig.
3. Kliënte- en Besigheidsadvies
- Bou en handhaaf sterk kliënteverhoudings.
- Verskaf strategiese en praktiese kommersiële regsadvies.
- Werk saam met kliënte en professionele adviseurs gedurende transaksies.
- Verseker doeltreffende bestuur van komplekse kommersiële projekte.
4. Algemene Kommersiële Ondersteuning
- Hersien en finaliseer kommersiële dokumentasie.
- Doen regsnavorsing waar nodig.
- Mentor junior professionele personeel.
- Verseker hoë kwaliteit werk en voldoening aan streng sperdatums.
Minimum Vereistes
- LLB-graad.
- B.Com-graad (Finansies).
- Minimum 8–10 jaar ondervinding ná voltooiing van artikels.
- Bewese ervaring in kommersiële reg, kontrakreg, besigheidsreg en M&A-transaksies .
- Uitstekende kontrakopstellings- en onderhandelingsvaardighede.
- Grondige kennis van:
- Samesmeltings en verkrygings (M&A's).
- Korporatiewe finansiering.
- Private-ekwiteitstransaksies.
- Korporatiewe herstrukturering.
- Transaksiestrukturering.
- Transaksionele belasting.
- Vlot Engels (geskrewe en mondeling).
- Afrikaans sal voordelig wees.
- Gevorderde Microsoft Office-vaardighede (Word, Excel en Outlook).
